Welcome to Unisight BIT (collectively referred to as “Unisight,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of all Unisight websites (including www.unisight.com), any subdomains, and any associated products or services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services.
1. Acceptance of Terms
1.1 Legal Agreement
By accessing the Services, you represent that you are at least the age of majority in your jurisdiction or, if you are accepting these Terms on behalf of an entity, that you have the authority to bind that entity. Your continued use of the Services indicates your ongoing acceptance of these Terms, as amended from time to time.
1.2 Modifications to Terms
Unisight may modify these Terms at any time. In the event of any material changes, we will provide notice (e.g., via email or by posting an update through the Services). Your continued use of the Services after the effective date of a revised version of these Terms constitutes your acceptance of those changes.
2. Description of Services
2.1 SaaS Platform
Unisight provides a software-as-a-service platform designed for businesses in (but not limited to) the food retail, grocery, or similar industries. Our Services may include, for example:
• Point-of-sale (POS) functionality,
• Inventory and supply chain management,
• Employee scheduling and timekeeping,
• Customer data and analytics,
• Financial reporting and related back-office tools,
• API integrations and developer resources.
2.2 Updates and Functional Changes
Unisight reserves the right to improve, modify, or discontinue any aspect of the Services at any time. We will use reasonable efforts to inform you about significant changes that might affect your usage.
3. Accounts and Registration
3.1 Account Setup
To access certain features of the Services, you may need to create an account. You agree to provide accurate, up-to-date information when creating your account and to keep such information updated. You are responsible for maintaining the confidentiality of your login credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. If you suspect unauthorized use or access to your account, you must immediately notify Unisight at contact email. Unisight is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
3.3 Acceptable Use
You agree not to use the Services in any unlawful manner, or in any way that could disable, overburden, damage, or impair the Services. You further agree not to transmit any viruses or other malicious code through the Services.
4. License and Proprietary Rights
4.1 Limited License
Subject to your compliance with these Terms and payment of applicable fees, Unisight grants you a non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business operations. No licenses or rights are granted by implication.
4.2 Unisight Intellectual Property
All materials, software, text, images, trademarks, trade names, service marks, designs, logos, and other intellectual property (collectively, “Unisight IP”) provided by or on behalf of Unisight are the exclusive property of Unisight and/or its licensors. You acquire no ownership interest in any Unisight IP and agree not to infringe, reverse engineer, or misuse Unisight IP in any manner.
4.3 Feedback
If you submit feedback, suggestions, or comments regarding the Services (“Feedback”), you grant Unisight the right to use such Feedback without obligation or compensation to you. You warrant that any Feedback provided is non-confidential and non-proprietary.
5. Payments and Fees
5.1 Subscription and Fees
Certain aspects of the Services may require a subscription or usage-based fees, as described in a separate order form, plan, or invoice. You must pay these fees on time and in the manner specified. All fees are exclusive of taxes, and you are responsible for paying all taxes applicable to your use of the Services.
5.2 Payment Authorization
If you provide a payment method (e.g., credit card), you authorize Unisight to charge the applicable fees using that payment method. You are responsible for keeping your payment details current.
5.3 Refunds
Except as otherwise specified in a separate subscription agreement or as required by law, fees are non-refundable. If you believe you have been charged in error, you must contact Unisight in writing within 30 days of the charge for a review.
6. Data Protection and Privacy
6.1 Collection of Data
Unisight may collect and process certain data from or about you and your end users in connection with the Services. Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Services, you acknowledge and agree to the practices described in our Privacy Policy.
6.2 Your Data Responsibilities
You represent that you have all necessary rights, licenses, and consents to provide any data (including personal data of your customers) to Unisight in connection with the Services. You are responsible for ensuring that your collection and use of personal data complies with all applicable laws and regulations, including but not limited to GDPR, CCPA, and other data protection laws.
6.3 Prohibited Data
Unless you have received prior written consent from Unisight, you must not use the Services to process or store any sensitive data (e.g., health data, biometric data, or full payment card details). The Services are not designed to comply with HIPAA or similar laws governing highly sensitive personal information. Unisight disclaims all liability for such unauthorized use.
6.4 Security Measures
Unisight employs technical and organizational measures to protect data within our Services. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security.
7. Third-Party Services and Integrations
7.1 External Services
The Services may allow you to integrate with or link to third-party services, websites, or applications (collectively, “Third-Party Services”). Your use of such Third-Party Services is governed solely by the terms and policies of those third parties, not these Terms.
7.2 Disclaimer
Unisight does not endorse or control any Third-Party Services and is not liable for the actions or omissions of any third parties or for any damage or loss caused by such services or content.
7.3 API Usage
If Unisight provides an Application Programming Interface (API), you agree to comply with any associated documentation, usage limits, and acceptable use policies. Unisight may suspend or terminate your access to the API if it reasonably believes you are misusing or abusing it.
8. Beta Features
Unisight may from time to time offer early access or “beta” features. These Beta Features are provided “as is” without any warranties and may be discontinued at any time without notice or liability. Your use of Beta Features is at your own risk.
9. Confidentiality
Both parties agree to maintain the confidentiality of the other party’s non-public proprietary or confidential information (“Confidential Information”). Each party shall protect the other’s Confidential Information using the same degree of care it uses to protect its own confidential information, but not less than reasonable care. This obligation does not apply to information that is or becomes publicly available without breach, is independently developed, or was lawfully received from a third party without restriction.
10. Disclaimer of Warranties
UNISIGHT PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, UNISIGHT AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
UNISIGHT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF THE SERVICES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
1. EXCLUSION OF DAMAGES: UNISIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION), WHETHER OR NOT FORESEEABLE, AND EVEN IF UNISIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. LIABILITY CAP: IN NO EVENT SHALL UNISIGHT’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS PAID BY YOU TO UNISIGHT FOR THE RELEVANT SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR FIFTY DOLLARS (US $50) IF NO FEES HAVE BEEN PAID.
3. EXCLUSIONS: NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Indemnification
You agree to indemnify, defend, and hold harmless Unisight, its affiliates, directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:
• Your use (or misuse) of the Services,
• Your violation of these Terms,
• Your breach of any representation or warranty,
• Any violations of applicable laws, or
• Infringement of any third-party rights by your content or data.
Unisight reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with Unisight’s defense of these claims.
13. Term and Termination
13.1 Term
These Terms remain in effect so long as you use or access the Services. If you have a subscription plan, the term and renewal conditions will be as specified during signup or in a separate subscription agreement.
13.2 Suspension or Termination by Unisight
We may suspend or terminate your access to the Services (in whole or part) immediately if we believe:
• You violate these Terms, or
• Your activities create potential liability or harm for us or other users.
In such event, we will provide notice unless we believe providing notice would cause further harm.
13.3 Termination by You
You may terminate your account or subscription at any time by contacting Unisight or using any account cancellation functionality. Termination will not relieve you of any payment obligations accrued prior to termination.
13.4 Effects of Termination
Upon termination or expiration of your account, Unisight may delete or disable your account and any related data, in accordance with our data retention policies and applicable law. Unisight is not liable for maintaining or returning your data after termination unless otherwise agreed in writing.
14. Dispute Resolution and Governing Law
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Arbitration
Any dispute, claim, or controversy relating in any way to these Terms or your use of the Services that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles, California, unless otherwise required by law or agreed by the parties. Judgment on the award rendered may be entered in any court having jurisdiction.
14.3 Class Action Waiver
All disputes will be conducted on an individual basis. You agree that no dispute shall be adjudicated in a class, consolidated, or representative action. If this class action waiver is found unenforceable, the entirety of this arbitration provision shall be null and void.
14.4 Injunctive Relief
Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized use of the Services.
15. General Provisions
15.1 Force Majeure
Unisight shall not be liable for delays or failures to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor conditions, government actions, or interruptions in Internet or communications services.
15.2 No Agency
Nothing in these Terms creates any agency, partnership, or joint venture between you and Unisight. Neither party has authority to bind the other in any manner.
15.3 Assignment
You may not assign or transfer any rights or obligations under these Terms without Unisight’s prior written consent. Unisight may freely assign or transfer these Terms (in whole or part) to an affiliate or in connection with a merger, acquisition, or reorganization.
15.4 Severability
If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
15.5 No Waiver
Any delay or failure by Unisight to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.6 Entire Agreement
These Terms, together with any additional agreements, policies, or separate subscription terms referenced herein, constitute the entire agreement between you and Unisight regarding the subject matter. They supersede all prior or contemporaneous representations, understandings, or agreements.
